Standard licence agreement

 

Licence Type: Standard

All of our sound products are issued with a standard licence unless otherwise stated. This licence grants usage to an individual or company with a maximum of 5 employees. 

For larger companies (6+ employees) please purchase our Corporate Licence, 

Definitions: 

  1. “Licensor”, “we” or “our” means Off-Trail Sound.
  2. “Licensee”, “you” or “your” means the end user, either an individual or entity.
  3. “Sound Product(s)” refers to any product, including; individual sounds, bundles, packs, sound effects or music. 
  4. “Project” or “production” refers to any work in which our sound products are used.

Grant of Licence: 

With the purchase of a sound product(s), Off-Trail Sound extends to you (the Licensee) a non-exclusive, non-transferable, global, and royalty-free licence, allowing you to utilise it in accordance with the terms outlined in this agreement.

This licence permits you to:

  1. Use the licensed sound products in a unlimited number of projects for an indefinite duration.
  2. Use of our sound products in any non-commercial, commercial and broadcast production, including but not limited to: Film, TV Programmes, Commercials, Music, Social Media Content, Games, Apps, Software and Live Events.

Restrictions:

  1. You may not share, sell, loan, rent or sub-licence our sound products to any third party or claim ownership.
  2. The alteration of our sound products to create new sound products for sale or distribution is strictly prohibited.
  3. Sharing or providing links for downloading our sound products on any platform or site such as social media, forums, YouTube or any other video or audio network is strictly prohibited.
  4. Our sound products should not be used where they become the primary value of the work. For example; the incorporation of our sound product into relaxation videos.
  5. Usage of our sound products in a physical product, such as a toy, necessitates a separate agreement. Please contact us to discuss this further.
  6. Utilising our sound products to train Artificial Intelligence (AI) or any deep learning model is strictly prohibited.
  7. You are prohibited from providing third parties with access to your account for the purpose of downloading our sound products. Additionally, the use of scripts, bots, or any automated processes to access our sound products is strictly forbidden.

Warranty:

Licensor warrants that it has the right to grant the licence herein. The sound products are provided “as is,” without any warranties of merchantability or fitness for a particular purpose.

Liability and Indemnification:

In no event shall the Licensor be liable for any indirect, incidental, or consequential damages arising out of the use of our sound products. The Licensee agrees to indemnify and hold the Licensor harmless from any claims, damages, or losses arising out of or in connection with the Licensee’s use of the sound products in violation of the terms of this licence.

The Licensor does not warrant or guarantee that our sound products will be compatible with all software, hardware, or platforms. It is the responsibility of the Licensee to ensure compatibility before making use of the sound products

While Off-Trail Sound endeavours to maintain the accuracy and quality of our sound products, we cannot assure their suitability or correctness for your specific requirements. It is important to acknowledge that the royalty-free and licence-free terms extend to all recordings directly produced by Off-Trail Sound; however, they will not cover third-party sounds that might be incidental in certain recordings. Downloading sound products which contain third-party sounds is done at your own risk.

Copyright:

Our sound products are licensed to you, not sold. No intellectual property rights are transferred to you. Therefore we retain all copyright and ownership of our sound products.
